Customers are solely responsible for determining whether possession, transportation, resale, or use of any product is lawful in their jurisdiction.

Manufacturing timelines are estimates only and may change due to:

• customer approval delays.

Estimated completion dates are not guarantees.

14.Customer Responsibilities for Manufacturing Projects

Customers engaging Morning Dew Farms for manufacturing services agree that they are responsible for:

• reviewing and approving all artwork
• reviewing all product labels before production
• ensuring marketing claims comply with applicable law
• ensuring trademarks, copyrights, graphics, and logos do not infringe the rights of others
• maintaining all licenses required for their business
• complying with all laws in jurisdictions where products are sold
• reviewing final proofs before production authorization.

Morning Dew Farms is not responsible for customer-supplied artwork, legal claims, marketing language, regulatory statements, or labeling content provided by customers unless Morning Dew Farms expressly agrees in writing to prepare or review such content.

Customer approval of final artwork constitutes acceptance of responsibility for the approved materials.

15.Manufacturing Tolerances

Customers acknowledge that commercially reasonable manufacturing tolerances exist in all food and botanical manufacturing.

Reasonable variation may occur with respect to:

• finished product weight
• serving weight
• cannabinoid concentration within applicable manufacturing tolerances
• color
• flavor
• aroma
• texture
• coating appearance
• botanical ingredients
• natural ingredients.

Morning Dew Farms continually works to produce consistent products while recognizing that natural ingredients and agricultural materials inherently vary.

Such variations shall not constitute defects unless they materially fail to conform to agreed product specifications.

16.Compliance With Applicable Laws

Morning Dew Farms manufactures products intended to comply with applicable federal and Texas laws and regulations at the time of manufacture. Customers are responsible for determining whether products may lawfully be possessed, transported, marketed, distributed, resold, or used in the jurisdictions in which they operate.

If Morning Dew Farms reasonably believes that fulfilling an order would violate applicable law or create an unacceptable compliance risk, we reserve the right to refuse or cancel the order without further obligation, other than refunding any payment not otherwise earned under a separate written manufacturing agreement.

17.Shipping and Delivery

Morning Dew Farms ships products only to jurisdictions where shipment is permitted by applicable law at the time an order is processed.

We currently do not ship products to Idaho or to any jurisdiction where shipment of the applicable product would violate federal, state, or local law. We also do not ship internationally, to Puerto Rico, Guam, or APO/FPO addresses unless we expressly announce otherwise.

Shipping restrictions may change without prior notice due to evolving laws, carrier policies, or regulatory guidance. Morning Dew Farms reserves the right to refuse, delay, reroute, or cancel shipments if we determine, in our sole discretion, that shipment may present a legal or compliance risk.

Estimated delivery dates are provided for convenience only and are not guaranteed.

Morning Dew Farms is not responsible for delays caused by:

• carrier delays
• customs or governmental actions

18.Adult Signature Verification

Failure to satisfy these requirements may result in cancellation of the order.

19.Risk of Loss and Title

Once a shipment has been accepted by the carrier, Morning Dew Farms is not responsible for:

• delivery to an address provided by the customer.

Where appropriate, Morning Dew Farms may assist customers in filing carrier claims; however, we cannot guarantee reimbursement or replacement.

20.Heat-Sensitive Products

Certain products—including gummies, chocolates, confections, soft gels, and other temperature-sensitive items—may soften, melt, or experience minor cosmetic changes during shipping, particularly during periods of elevated temperatures.

Such changes do not necessarily affect product quality, potency, or safety.

Customers acknowledge the risks associated with shipping temperature-sensitive products during warmer months.

Morning Dew Farms is not responsible for cosmetic changes caused by exposure to heat after products leave our facility.

21.Inspection of Goods

Wholesale customers should inspect all shipments immediately upon receipt.

Any claim involving:

• shipping damage
• shortages
• incorrect items
• packaging damage
• manufacturing defects

must be reported within 48 hours of delivery.

Claims must include:

• photographs of the shipping carton
• photographs of the damaged product
• photographs of shipping labels where applicable
• a description of the issue.

Failure to provide timely notice may constitute acceptance of the shipment.

22.Storage of Customer Inventory

Finished goods manufactured for customers that remain unclaimed beyond agreed pickup or shipment dates may be subject to storage fees.

Morning Dew Farms reserves the right to establish commercially reasonable storage charges and, after reasonable notice, dispose of or otherwise handle abandoned inventory as permitted by applicable law or contract.

23.Intellectual Property

Unless otherwise agreed in writing, all intellectual property associated with Morning Dew Farms remains the exclusive property of Grateful Greens LLC.

Protected property includes, without limitation:
